Kent & Essex Mutual Insurance Notice of Special General Meeting of Members

NOTICE is hereby given that a Special General Meeting of the Members of KENT & ESSEX MUTUAL INSURANCE COMPANY will be held on September 15, 2026, at 4:30 p.m. local time, at Links of Kent Golf Club, 120 Indian Creek Road W., CHATHAM, ON, for the following purposes:

  1. To seek the approval of the members of the Amalgamation Agreement between the Corporation and Maple Mutual Insurance Company which provides for the amalgamation of the two corporations under the name “KENT ESSEX MAPLE MUTUAL INSURANCE COMPANY” which has been unanimously approved by the Directors of the Corporation, with the amalgamation to be effective January 1, 2027.
  2. To seek the approval of the members of By-law 1 – 2027, being a general By-law relating to the business and affairs of the Amalgamated Corporation to be effective on amalgamation.

Copies of the Amalgamation Agreement and By-law and further information is available on the Corporation’s website (www.kemutual.com), at the Corporation’s head office at 10 CREEK RD, CHATHAM, ON  N7M 5J4 during regular business hours, and will be mailed or e-mailed to any Member on request. Members may direct any questions to the Corporation at info@kemutual.com, 1-800-265-5206, or their broker.

Members may vote in person, or by proxy. Proxy forms and instructions have been sent to Members by mail and a further copy is available from the Corporation on request.

The Board of Directors of the Corporation support the amalgamation and encourage the Members to vote FOR the Amalgamation Agreement and By-law. Members may object by voting AGAINST the Amalgamation Agreement and/or By-law. If the Amalgamation Agreement is approved by two-thirds of the Members of each company who vote, the amalgamation will proceed. The By-law requires a simple majority.

The proposed amalgamation remains subject to the approval of the Financial Services Regulatory Authority of Ontario.
